These Terms & Conditions ("Terms") govern your access to and use of the ADigital digital menu board service, software, dashboard, and related services (the "Service"), operated by AppanDesign LLC ("AppanDesign," "ADigital," "we," "us," or "our"). By creating an account, subscribing, or using the Service, you ("Customer," "you") agree to these Terms. If you do not agree, do not use the Service.
ADigital provides managed digital menu boards for food-service and retail counters. This includes cloud-hosted software, a web dashboard for managing screens and content, scheduling and playlist tools, and ongoing hosting and updates. You build and manage your boards using our Menu Designer; we can design boards for you as a separately quoted service. We help configure your player device(s), set the screens up on-site, and host the platform so your menus stay current.
To use the Service you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use. You must be at least 18 years old and authorized to bind your business to these Terms.
The Service is offered on a subscription basis, priced per screen. Plans are billed annually in advance unless otherwise agreed in writing. Prices are stated on our website and may change; changes will not affect your current paid term but will apply at renewal.
The Service runs on a compatible media player device (for example, a commercial Android player with HDMI output). Players and displays are purchased separately by you and are not included in your subscription. We will recommend suitable hardware and help configure it, but we are not the manufacturer and do not warrant third-party devices. You are responsible for providing power, internet connectivity, and a compatible display.
We provide on-site setup and hands-on training for your team to get your screens running. Ongoing support is available Monday through Sunday, 8:00 AM to 8:00 PM Eastern Time, by phone and email. We aim to respond promptly but do not guarantee specific response or resolution times unless separately agreed in writing.
You retain all ownership of the menus, images, prices, logos, and other materials you provide or create using the Service ("Customer Content"). You grant us a non-exclusive, worldwide license to host, process, cache, display, and transmit Customer Content solely to operate and provide the Service. You represent that you own or have the rights to your Customer Content and that it does not infringe any third-party rights or violate any law.

The Service, including the ADigital software, dashboard, player application, designs, and the "ADigital" and "AppanDesign" names and logos, is owned by AppanDesign LLC and protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.
We work to keep the Service available and reliable. Players cache content locally so boards keep playing during short internet outages, then sync when connectivity returns. However, the Service is provided on an "as available" basis and may be affected by maintenance, third-party providers, hardware, network conditions, or events beyond our control. We do not guarantee uninterrupted or error-free operation.
You may cancel your subscription at any time; cancellation takes effect at the end of your current paid term, and the Service continues until then. Except where required by law, fees already paid are non-refundable and partial terms are not pro-rated. One-time setup and custom-design charges are non-refundable once work has begun.
THE SERVICE AND ANY HARDWARE RECOMMENDATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AppanDesign LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless AppanDesign LLC and its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service, or your breach of these Terms.
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New Jersey will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
